1. Acceptance of Terms

By accessing and using the services provided by Northfield & Co. ("Company," "we," "us," or "our"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

Northfield & Co. provides land development consulting services, including but not limited to:

• Property oversight and management
• Development strategy consultation
• Zoning and regulatory compliance assistance
• Land acquisition support
• Environmental assessment services
• Project planning and coordination

3. User Responsibilities

As a user of our services, you agree to:

• Provide accurate and complete information when requested
• Maintain the confidentiality of any login credentials
• Use our services only for lawful purposes
• Respect intellectual property rights
• Not interfere with or disrupt our services
• Comply with all applicable local, state, and federal laws

4. Professional Services

Our consulting services are provided based on our professional expertise and industry knowledge. However:

5. Confidentiality

6. Limitation of Liability

To the fullest extent permitted by law, Northfield & Co. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from the use of our services.

7. Intellectual Property

All content, materials, and intellectual property provided by Northfield & Co. remain our exclusive property. This includes:

• Reports and analyses
• Methodologies and processes
• Software and tools
• Training materials

8. Payment Terms

Payment terms for our services are as follows:

• Fees are due as specified in individual service agreements
• Late payments may incur additional charges
• Disputed charges must be reported within 30 days
• Services may be suspended for non-payment

9. Termination

Either party may terminate services with appropriate notice as specified in individual agreements. Upon termination:

• All outstanding fees become immediately due
• Confidentiality obligations continue
• Work product completed to date will be delivered
• Both parties will return confidential materials

10. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of law provisions. Any disputes arising from these terms shall be resolved in the courts of Minnesota.

11. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting on our website. Continued use of our services after changes constitutes acceptance of the new terms.
